Courses

AGENCY, PARTNERSHIP & LIMITED LIABILITY COMPANIES, LAWS 611 (3 hours) The course will be taught primarily as a planning and drafting course. Group and individual projects will form a component of the grade. Projects may include such things as:

  1. Independent Contractor Agreement
  2. Power of Attorney
  3. Law Firm Partnership Agreement
  4. Real Estate Partnership Agreement
  5. Limited Partnership Agreement

Besides the traditional emphasis on substantive agency and partnership concerns, to a limited degree, securities and tax matters will be considered. This course will be structured for both those students who anticipate going into a smaller "general practice" and also those who intend to pursue a more rigorous business practice.

BUSINESS CORPORATIONS, LAWS 600 (4 hours) A study of the formation, structure, and characteristics of enterprises organized to do business in the corporate form. Areas discussed include: (1) shareholder and promoter liability; (2) division of enterprise ownership, powers and control, and duties of management; (3) the increasing role of "federal corporation law" and (4) securities regulation.

PROPERTY I, LAWS 510 (3 hours) A course designed to give the student basic training in legal techniques of commercial land transactions and to introduce him or her to property concepts underlying modern donative transfers. Subject matter to cover includes a survey of the history of land law; estates in land and their rules affecting their creation; preparation of leases and landlord and tenant problems; contracts of sale; conveyances and financing; recording acts and examination of titles; control of land use through judicial, legislative, and private means.
